TOKEN GENERATION TERMS
If you want to support Orichalcos Foundation (a foundation established in Victoria – Seychelles, hereinafter “Orichalcos” or the “Foundation”) and its project, you can contribute by following the procedure set out herein, having agreed in advance to the terms of Orichalcos’ Token Generation Event (the “Token Generation Event” or “TGE”) herein indicated (the “Terms” or “Token Generation Terms”). These Terms are no solicitation for investment and no offering of securities in any jurisdiction, but rather describe the Token Generation Event.
Please take note of the following principles which apply to the Token Generation Event: by participating in the Token Generation Event and obtaining your ERC20 ORIC Token (the “ORIC Token” or “ORIC Coin”) in the course of the latter, you acquire no rights whatsoever, neither express nor implied related to Orichalcos. In particular, you will have no influence over the governance of Orichalcos, and no control over Orichalcos’ distribution, allocation and use of your contribution, which may include covering costs incurred before the Token Generation Event, and awards for beneficiaries who in Orichalcos’ view significantly contributed to its project. It is thus in Orichalcos’ sole discretion how and to whom your contribution will be given in the context of Orichalcos’ project; it will do so as it deems fit. Your contribution is non-refundable. By your participation in the Token Generation Event, you expressly acknowledge and represent that you have carefully reviewed the Terms as well as the Whitepaper and fully understand the risks, costs, and benefits of receiving ORIC Tokens, and agree to be bound by these Terms. You further represent and warrant that, to the extent permitted by law, you are authorized to obtain ORIC Tokens in your relevant jurisdiction, are of a legal age to be bound by these Terms, and will not hold Orichalcos, its affiliates, officers, directors, agents, joint ventures, employees, advisors and suppliers, now or in the future, liable for any losses, costs or any direct, special, incidental, or consequential damages arising out of, or in any way connected to, the Token Generation Event or Orichalcos (please see also the relevant information included in the Whitepaper’s disclaimer). You should only participate in the Token Generation Event if you have significant experience with, and understanding of, the usage and intricacies of cryptographic tokens and blockchain-based software systems. Moreover, if you participate in the Token Generation Event, you need to be aware that your entire contribution to Orichalcos may be lost for whatever reason, in particular due to the fact that Orichalcos and its project are still under development, and no warranties can be given that it will be successfully completed. As a consequence, the ORIC Token may have no value after all.
You also need to understand that Orichalcos may cancel the Token Generation Event for whatever reason and in its sole discretion. Furthermore, you should only participate in the Token Generation Event if you have carefully considered these Terms as well as the Whitepaper and, to the extent necessary, have consulted an appropriate lawyer, accountant, or tax professional. You should only participate if – after having done so – the Whitepaper and the Terms are acceptable for you.
STEP 0: PREPARE WHAT YOU NEED FOR YOUR CONTRIBUTION
Visit orichalcos.io to participate get prepared with your computer, a web browser, your email client and your Ethereum wallet. If you want to contribute with Bitcoin (BTC) or Litecoin (LTC), please prepare your BTC or LTC wallet as well. Click “Contribute and get ORIC Token” and go ahead with the following steps.
STEP 1: READ AND AGREE TO ORICHALCOS’ WHITEPAPER AND TOKEN GENERATION TERMS
Before participating in Orichalcos’ Token Generation Event, you must read and consent to the entire Whitepaper (including the relevant disclaimers) as well as these Token Generation Event Terms, and accept the vision, mission and values of Orichalcos.
STEP 2: ENTER YOUR PUBLIC ETHEREUM AND EMAIL ADDRESS
Provide an Ethereum address using a wallet that is ERC20 compliant to receive your ORIC Tokens. This can be a different wallet than the one you send your contribution from. You will be given the following coin options for your preferred method of contributing: BTC, ETH, or LTC. DO NOT USE AN EXCHANGE WALLET, as you will not be able to receive your ORIC Tokens.
Provide the appropriate address (BTC wallet address, ETH wallet address or LTC wallet address) of the wallet you want to send the contribution from. This will be used to check the contribution validity and amount.
You must have access to the private keys of all your wallets. You must also provide an email address to be used to communicate important notices to you, such as to inform you of the next important steps related to Orichalcos’ Token Generation Event and further initiatives. When you’re transferring the wallet addresses, use the cut and paste function to make sure you transcribe the addresses correctly. It is your responsibility to check carefully and confirm that the information you provided is correct for your Ethereum address, email address and the selected coin for payment. This is very important as typo errors are remarkably common. If you have specified an incorrect address and this results in the loss of your ORIC Tokens or any other loss or damage, Orichalcos will not issue any refunds and not indemnify you in any other way.
STEP 3: SEND THE DESIRED AMOUNT TO THE CONTRIBUTION ADDRESS
Use the BTC, ETH or LTC address you will get from the webpage, BEWARE, the address has been signed with the Orichalcos PGP key DF6367FE (the “Orichalcos Key”), so please go to http://pgp.mit.edu, search for “email@example.com” key, use Orichalcos Key to check the signature provided on the webpage (the “Check Procedure”). At the end of the Check Procedure the BTC, ETH or LTC address you will get from the webpage should be considered as a verified address (the “Checked Address”).
If you fail to comply with the Check Procedure and this results in the loss of your contribution or ORIC Tokens, or any other loss or damage, you will be the sole responsible for such losses and damages and, in any case, Orichalcos will not issue any refund and not indemnify you in any other way.
Go to your wallet or exchange and send the desired contribution amount to the Checked Address.
Depending on the BTC, ETH or LTC network status, you may expect delays in the confirmation of the transaction.
Your ORIC Tokens will be transferred to the provided Ethereum wallet address as soon as the transaction is confirmed and checked by Orichalcos, this will happen up to 4 (four) weeks after the Token Generation Event ends.
By transferring BTC, ETH, or LTC to the relevant Checked Address, you expressly agree and confirm to have carefully reviewed, understood and agreed with the provisions provided by the Whitepaper and these Token Generation Event Terms.
By transferring BTC, ETH, or LTC to the relevant Checked Address and/or receiving ORIC Token, no form of partnership, joint venture, agency or any similar relationship is intended or hereby created between you and the Foundation and/or other individuals or entities involved with the deployment of Orichalcos’ project.
The contribution into ORIC Token will not involve any Fiat currencies and will strictly be done in cryptocurrencies (BTC, ETH, or LTC only). Your contribution into ORIC Token is final, legally binding and irrevocable, and there are no refunds or cancellations. Should Orichalcos be required due to applicable mandatory law or regulation to refund your contribution, then BTC, ETH or LTC sent by you to contribute to Orichalcos and obtain ORIC Tokens may be returned to the extent still available, and the contribution will be considered not made. Orichalcos reserves the right to refuse or cancel your contribution at any time in its sole discretion.
Orichalcos will provide you web-based support only, which may include email, web forums, and knowledge base support. Orichalcos will not provide telephone or live support.
If you acquire BTC, ETH, or LTC using a third-party payment processor (e.g., ShapeShift, YUNBI, Gatecoin), that payment processor is your agent, not Orichalcos, for the purpose of the payment. You, not Orichalcos, are responsible for ensuring that Orichalcos actually receives the appropriate amount of BTC, ETH or LTC. Orichalcos is not responsible for any loss of funds due to the use of a third-party payment processor. If you obtain ORIC Tokens using a third-party payment processor, that payment processor is your agent, not Orichalcos, for this purpose. You, not Orichalcos, are responsible for ensuring that Orichalcos actually receives the appropriate amount of BTC, ETH or LTC. Orichalcos is not responsible for any loss of funds related to the use of a third-party payment processor.
FRAUDULENT ATTEMPTS TO DOUBLE SPEND BTC, ETH OR LTCOrichalcos will monitor all potential transactions to detect fraudulent attempts to double spending BTC, ETH or LTC. Any fraudulent activity, including potential double spending of any cryptocurrency, will result in no ORIC Token being delivered to you and may result in you being excluded from Orichalcos’ Token Generation Event.
AFTER CONTRIBUTION – EMAIL CONFIRMATION
If you do not receive an email, don’t panic! Orichalcos will provide an online tool to allow you to self-check your ORIC Tokens. The tool shows all information included in the email.
GIVE MORE CONTRIBUTION TO THE FOUNDATION
If you desire to give more contribution to the Foundation (and, therefore, obtain more ORIC Tokens) you are able to, but be sure to go through the website steps again and follow the procedure set out herein (as described above). If you send another contribution to the Checked Address you will not receive a confirmation and will have to wait until Orichalcos can add it to the system manually. In this scenario, the website tool will not show the second transaction.
RECEIVE ORIC TOKENS
ORIC Tokens will be distributed up to 4 (four) weeks after the Token Generation Event ends. Orichalcos will send you an email notification when ORIC Tokens have been distributed. All deliveries of ORIC Tokens will be made electronically. Deliveries will be made directly to the account, address or wallet indicated by you as per the contribution and the consequent receipt of ORIC Tokens. If you have any issues relating to your contribution, please email firstname.lastname@example.org.
You are responsible for implementing reasonable measures for securing the wallet, vault or other storage mechanism you use to receive and hold ORIC Tokens, including any requisite private key(s) or other credentials necessary to access such storage mechanism(s). If your private key(s) or other access credentials are lost, you may lose access to your ORIC Tokens. Orichalcos is not responsible for any such losses. You will implement reasonable and appropriate measures designed to secure access to (i) any device connected with the email address associated with your account, (ii) private key(s) required to access any relevant Ethereum address or your ORIC Tokens, and (iii) your username, password and any other login or identifying credentials.
ADDITIONAL / PERSONAL INFORMATION
To the fullest extent permitted by law, you release Orichalcos and its respective predecessors, successors and assigns from all claims, demands, actions, damages, losses, costs and expenses of every kind and nature, known and unknown (including, but not limited to, claims of negligence, actions for breach of warranty, breach of contract, tort), arising out of or otherwise in connection with: (a) your contribution to Orichalcos; (b) your participation to Orichalcos’ Token Generation Event; (c) your rights, responsibilities or obligations under these Token Generation Terms; (d) your violation of these Token Generation Terms; or (e) your violation of any rights of any other person or entity, including in relation to or arising out of disputes between Orichalcos and you or between you and other participants in the Token Generation Event, and the acts or omissions of third parties, or (f) your envisaged future use of the ORIC Token.
To the fullest extent permitted by law, you will indemnify, defend and hold harmless Orichalcos and its respective predecessors, successors and assigns from and against all claims, demands, actions, damages, losses, costs and expenses (including attorneys’ fees) that arise out of or are otherwise connected with: (a) your contribution to the Foundation; (b) your participation in Orichalcos’ Token Generation Event; (c) your rights, responsibilities or obligations under these Token Generation Terms; (d) your violation of these Token Generation Terms; or (e) your violation of any rights of any other person or entity. Orichalcos reserves the right to exercise sole control over the defense, at your expense, of any claim subject to indemnification under this section. This indemnity is in addition to, and not in lieu of, any other indemnity implied into or set forth in any written agreement between you and Orichalcos or provided by any applicable laws.
DISCLAIMER OF WARRANTIES
You expressly agree that you obtain ORIC Token at your own risk and that the ORIC Token is provided on an “as is” basis without warranties of any kind, either express or implied, including without limitation warranties of title or implied warranties, merchantability or fitness for a particular purpose. Without limiting the foregoing, no warranty is given that the Token Generation Event will be uninterrupted or error-free. GOVERNING LAW AND DISPUTE RESOLUTION These Token Generation Terms will be governed by the laws of Singapore, without regard to the conflicts of law provisions of such jurisdiction. Any claim or dispute arising out of these Token Generation Terms, including any question regarding its existence, validity or termination, shall be submitted only to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the SIAC for the time being in force, which rules are deemed to be incorporated by reference in this Token Generation Terms.
